These Terms of Service (“Terms”) govern your access to and use of the maps.ai platform, website, applications, APIs, and related services (collectively, the “Platform” or “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Description of Services
maps.ai provides AI-powered financial analysis,diligence, research, summarization, benchmarking, forecasting, and related analytical tools.
The Services may allow users to upload documents, financial materials, websites, URLs, and other content for automated processing and analysis using artificial intelligence systems.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.
If you use the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
3. User Accounts
You may be required to create an account to access certain features of the Services.
You agree to:
- provide accurate information
- maintain the security of your account credentials
- promptly notify us of unauthorized access or use
- accept responsibility for activities occurring under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. User Content
Ownership
You retain ownership of documents, files, URLs, text, and other content you upload or submit to the Services (“User Content”).
Uploading User Content does not transfer ownership rights to the Company.
License to the Company
You grant maps.ai a limited, non-exclusive, worldwide license to host, process, analyze, reproduce, display, and use User Content solely for:
- operating the Services
- providing analytical outputs
- improving platform functionality
- Collect data to improve the functionality
- maintaining security and performance
User Responsibilities
You represent and warrant that:
- you own or have permission to upload User Content
- your uploads do not violate laws or third-party rights
- you have authority to share submitted materials
- your uploads do not contain malicious code or harmful content
You are solely responsible for User Content submitted through the Platform.
5. AI-Generated Outputs
The Services may generate automated analyses, summaries, forecasts, recommendations, or other outputs using artificial intelligence systems.
AI-generated outputs may:
- contain inaccuracies
- be incomplete or outdated
- omit important information
- produce incorrect conclusions
You acknowledge that AI-generated outputs are probabilistic and should be independently reviewed and verified.
6. No Financial, Investment, or Professional Advice
The Services are provided for informational and analytical purposes only.
Nothing provided through the Services constitutes:
- investment advice
- financial advice
- legal advice
- accounting advice
- tax advice
- fiduciary services
Maps.ai is not a registered investment adviser, broker-dealer, or fiduciary unless explicitly stated otherwise.
You are solely responsible for evaluating and relying upon any outputs generated by the Services.
7. Confidentiality
We use commercially reasonable measures designed to protect confidential business and financial materials uploaded to the Platform.
However, you acknowledge that no electronic system or transmission method is completely secure.
You should avoid uploading highly sensitive personal information unless necessary for the Services.
8. Prohibited Uses
You agree not to:
- violate applicable laws or regulations
- upload content you do not have rights to use
- infringe intellectual property rights
- upload malware or malicious code
- interfere with platform security or operations
- attempt unauthorized access to systems or accounts
- reverse engineer or scrape the Platform
- use the Services to develop competing products
- misuse AI outputs for unlawful or deceptive purposes
We may suspend or terminate access for violations of these Terms.
9. Intellectual Property
The Platform, including software, models, interfaces, branding, logos, and underlying technology, is owned by maps.ai and protected by intellectual property laws.
Except for rights expressly granted in these Terms, no rights are transferred to users.
10. Third-Party Services
The Services may integrate with third-party providers, websites, APIs, or external content.
We are not responsible for:
- third-party content
- third-party services
- external websites
- availability or accuracy of third-party information
Use of third-party services may be subject to separate terms and policies.
11. Subscription, Billing, and Payments
If applicable, certain Services may require payment of fees.
You agree to:
- provide valid payment information
- pay all applicable fees and taxes
- comply with subscription terms presented at purchase
Unless otherwise stated:
- subscriptions automatically renew
- fees are non-refundable
- we may modify pricing with advance notice
12. Service Availability
The Services are provided on an “as is” and “as available” basis.
We do not guarantee:
- uninterrupted availability
- error-free operation
- accuracy of outputs
- specific business or financial outcomes
We may modify, suspend, or discontinue features at any time without liability.
13. Limitation of Liability
To the maximum extent permitted by law, maps.ai and its affiliates, officers, employees, and partners shall not be liable for:
- investment losses
- lost profits
- business interruption
- loss of data
- indirect or consequential damages
- reliance on AI-generated outputs
Our total liability arising from the Services shall not exceed the amount paid by you to the Company during the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless maps.ai from claims, damages, liabilities, and expenses arising from:
- your use of the Services
- your User Content
- your violation of these Terms
- infringement of third-party rights
- unlawful conduct
15. Termination
We may suspend or terminate your access to the Services at any time if:
- you violate these Terms
- your use poses security or legal risks
- required by law or regulation
Upon termination:
- your right to access the Services ceases
- certain provisions of these Terms survive termination
16. Governing Law
These Terms shall be governed by and construed under the laws of the State of [State], without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved exclusively in the courts located in King County, WA.
17. Changes to Terms
We may update these Terms from time to time.
If material changes are made, we will update the Effective Date and may provide additional notice where required by law.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
